Special Purpose Acquisition Companies (“SPACs”) have garnered much attention in 2021. Southeast Asian tech companies Grab and Traveloka have recently announced plans to go public via SPAC mergers, and the SGX is also in the process of considering allowing the listing of SPACs. The SGX issued a consultation paper on 31 March 2021 asking for market feedback on its proposed regulatory framework for SPAC listings.

In light of these developments, this article provides an overview of SPACs, examines the potential risks that SPACs and presents some proposals on how regulations may be shaped to address these risks.
